Terms

Draft. Not yet reviewed by a solicitor. These terms are written in plain English to show how tickets work. They will be checked by a solicitor before launch and may change. Words in square brackets are still to be filled in.

Last updated: [date].

1. Who we are

WorkOffline (workoffline.ai) is run by [company name], a company registered in [England and Wales], number [number], at [registered address]. VAT number [VAT number]. Contact: [hello@workoffline.ai]. WorkOnTheTrain.com and WorkOnThePlane.com are our websites too, and these terms cover tickets bought through any of them.

2. The free download

  • You can download and use the WorkOffline app free, with no ticket and no account. The AI model download is free too.
  • Without a ticket (press "Skip for now" on first run), only compress works, for files up to 10 MB each. Every other feature is visible and asks you to choose a ticket.
  • The free app makes no calls to our servers. To get a newer version, download it again from workoffline.ai.
  • We may change what the free download includes. Anything you have paid for is covered by sections 3 to 7 and stays included.

3. Tickets

You buy a ticket to use the rest of the WorkOffline app. There are three kinds.

  • Single. One payment, priced at one flat white on the day you buy. It covers one major version of the app (for example version 1, with all its minor and security updates), one platform type that you choose at checkout (laptop, meaning Mac or Windows, or mobile, meaning iPhone or Android), and 1 device.
  • Season. One payment, priced at seven flat whites on the day you buy. It covers every version of the app, for as long as we make it, on every platform, on 2 devices. It does not include Pro features.
  • Pro. A subscription, priced at one flat white a month or ten a year. It covers the latest version of the app, on every platform, on 5 devices, with Pro features. The first time, it starts with a 7 day free trial. See section 6.

The flat white price is the price of a flat white at Starbucks, Exeter St Davids station, which we check every Monday. We change our prices at most once a week. The price you pay is the one shown at checkout. Prices are in pounds and include UK VAT. Checkout may show your local currency. Checkout can save your card for one-click upgrades, but only if you tick the box; your card details stay with Stripe. We are not affiliated with or endorsed by Starbucks.

Every ticket includes compress for files of any size, chat with your files, writing, automations (watch folders and batch jobs) and knowledge packs. Pro adds the Pro features listed on the pricing page.

4. Devices

  • Single: 1 device. Season: 2 devices. Pro: 5 devices. Season tickets bought before Pro was introduced keep 5 devices.
  • You activate a device by pasting your ticket code into the app. You can free a device in your account and use the slot on another device.
  • Each device slot can move to a new device 3 times a year. If you need more, ask us.
  • Tickets are for you (or, for business buyers, for the person using them). Please don't share or resell them.

5. Versions and platforms

  • A Single covers the major version current when you bought it, and every minor and security update to that version. It keeps working for as long as your device runs it.
  • When a new major version comes out, a Single holder can move to it for one flat white, or upgrade to Season for the difference between the two prices that day. Nobody has to.
  • To use a Single on the other platform type, buy another Single for that platform.
  • Season and Pro cover every platform. Mobile apps are not available yet. We will say when they are.

6. Pro subscription

  • Free trial. Pro starts with 7 days free. You give a card at checkout, but nothing is charged during the trial. One free trial per person and per ticket. To make sure of this we keep a coded (hashed) copy of your email address, also after you delete your account; it can't be turned back into your address.
  • Reminder. We email you 2 days before the trial ends, with the amount and the date of the first charge and a link to cancel.
  • Cancel during the trial. Cancel any time on your billing page (in your account) before the trial ends and you are never charged. Pro ends when the trial ends.
  • After the trial. If you don't cancel, we charge your card the monthly or yearly price you chose, at the price locked on the day you started, and then at the start of each month or year. If the trial ends without a payment, Pro ends and your ticket goes back to exactly what you bought outright (or, if you only had Pro, back to the free download).
  • Price lock. Your Pro price is fixed at the flat white price on the day you subscribe, monthly or yearly. It does not change when the flat white does, for as long as your subscription continues.
  • Payments. After any free trial, Stripe takes payment at the start of each month or year. If a payment fails, Pro keeps working for a short grace period while you update your card.
  • Working offline. Pro works with no connection, using a signed Pro pass that lasts about 5 weeks. The app renews it during its normal update check. If your device stays offline for longer, Pro features pause until the next check. Everything else keeps working.
  • Cancelling. You can cancel any time on your billing page: in your account, press "Cancel Pro" or "Manage billing". It opens Stripe's secure billing page. You may be offered a reason to stay, but you can always go on and cancel. Pro continues until the end of the period you have paid for. We don't refund part periods, except as set out in section 7 or where the law says we must.
  • Keep your version. When Pro ends, you keep the version you have. Your ticket then works like a Single: the version current at that moment, on the platforms you used, on 1 device. If you had a Season ticket before joining Pro, it goes back to being a Season ticket. Pro features switch off. Nothing on your device is deleted.

7. Refunds: 14 days, no questions asked

  • Every payment for a ticket or an upgrade can be refunded in full within 14 days of paying, for any reason. You don't need to tell us why.
  • It is self-serve: sign in to your account and press "Request a refund" next to the payment, then confirm. Stripe refunds the card you paid with straight away. Your bank may take a few days to show it.
  • A refunded ticket stops working at the app's next update check. A refunded upgrade (to Season, or to a new version) only undoes that upgrade: what you bought before stays.
  • To keep this exact, refund the newest payment on a ticket first. A ticket on Pro can't have its original purchase refunded until Pro is refunded or cancelled.
  • For Pro, the 14 days apply to your first payment (after a free trial, that is the first charge). Refunding it cancels Pro straight away. Later renewals are not refunded this way: cancel any time instead. [Solicitor to confirm renewal payments.]
  • After 14 days, or if the button doesn't work for you, email us. We don't send reminders about the refund window.
  • This does not affect your legal rights. See section 10.

8. New features and changes

We keep improving the app. New or advanced features may become paid in future. Anything included in your ticket when you bought it stays included.

We may change these terms, for example when we add a new kind of ticket. Changes never take away what you have already paid for. If a change affects a Pro subscription, we will email you first, and you can cancel before it applies.

9. Using the AI

  • The AI runs on your own device. It can be wrong. Check anything important, especially facts, figures, and anything legal, medical or financial.
  • Answers about your files point to the file and page so you can check them. General answers are labelled as limited general knowledge.
  • The app never changes or overwrites your original files. When it makes a new file, it saves a copy and asks you first.
  • You are responsible for the files you use with the app and what you do with its output.

10. Your consumer rights

[To be written by a solicitor: digital content rights under the Consumer Rights Act 2015, the 14 day right to cancel and how it applies once a download has started, the rules for subscriptions and free trials (including the reminder before the first charge), and the equivalent rights for buyers outside the UK.]

11. Our responsibility to you

[To be written by a solicitor: limits of liability, what we are not responsible for, and what we can never exclude.]

12. Law

[To be confirmed by a solicitor: these terms are governed by the law of England and Wales, and consumers keep the protection of the law where they live.]
